■Position Description
The Strategic Legal Unit is part of the JERA Legal team. JERA’s Legal team is divided into 5 branches – Strategic Legal Unit, Legal Operations Unit, Corporate Legal Unit, Compliance Supervision Unit and Regulatory Advisory Legal Unit.
The Strategic Legal Unit is focused on ensuring that JERA’s business and operations are conducted in accordance with applicable legislations and regulations. In particular, members of the team are expected to provide general legal advice and support for JERA’s business and operations (including project development, M&A, transactional contract review and negotiation, joint venture management and contract management, contentious matters).
This role will support the GM of the Strategic Legal Unit in all key legal matters affecting the company and for the design, implementation, maintenance and operation of legal processes for the company.
The Legal function is responsible for drafting and finalising legal documentation and ensuring all legal risks are assessed and dealt with appropriately.
The legal team also provides advice and guidance to senior management on business issues and ensures that business is conducted in a manner that complies with all legal and regulatory requirements.
■Key Role Responsibilities
・To provide technically accurate and commercially aware legal advice and guidance across all aspects of the company’s LNG business and operations.
· The legal advice will ensure all risks are outlined for the LNG business, and to advise on the legal process as required.
· Anticipate issues and assess risks strategically; identify proactive solutions to mitigate risks and exposures, especially in areas of LNG SPA discussions in the mid term and long term markets
·Provide drafting, review and key legal analysis and legal support for contractual negotiations, including understanding key components of LNG SPA contracts and commercial implications derived from such contractual terms
·Participate in internal discussions with the relevant business units to support their LNG contracting requirements and participate in negotiations with counterparties
·To support business in establishing the new fuels (ammonia and hydrogen) value chain utilizing the LNG SPA skills and knowledge – creating TS and SPAs of new fuels.
·Development and management of the legal function, including mentoring of junior staff and improving the legal literacy of the business members for better business delivery
■Experience Required
· In-depth knowledge of the following is essential for this role:
o Mid to Long Term physical LNG contracts; and
o LNG contracts transaction cycle, gained within an energy environment
· Good degree in law or equivalent with at least [6] years PQE from a leading law firm or in-house experience.
· Qualified for legal practice in a common law jurisdiction.
· Transactional legal background in Commodities required, LNG preferred.
· Good analytical and drafting skills with the ability to understand and interpret commercial intentions, organized and committed to deadlines.
·Ability to understand and take into account business drivers and needs.
· Able to give clear exposition of a legal issue and to provide succinct accurate and comprehensible legal advice.
·Knowledge and experience to identify critical legal risks and strong negotiation and conflict resolution skills.
· Strong negotiation skills and experience, with keen ability to evaluate all legal implications with a focus on solutions and results.
■Personal Qualities
· Excellent written and verbal communication skills. Able to communicate effectively with internal stakeholders at all levels as well as external counterparty representatives. Must be fluent in English.
· Must be well-organised, detail orientated and efficient.
· Able to work independently and as a member of the wider team within JERA. The candidate should be professionally mature and know when to seek help and advice from senior colleagues.
· Self-motivated, with an ability to work under pressure and to manage multiple tasks in a dynamic corporate environment.
·Must possess a strong commercial outlook.
